1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and Declotr ("we," "us," "our," "Company") governing your access to and use of the Declotr mobile application (the "App"), website at declotr.com (the "Website"), and all related services, features, content, and functionality (collectively, the "Platform").
By creating an account, accessing, or using any part of the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein.
If you do not agree with any part of these Terms, you must not use the Platform.
2. About Declotr
Declotr is a social commerce marketplace that combines e-commerce with social features. The Platform enables users to:
- Buy Products: Browse, search, and purchase products from sellers
- Sell Products: List products, manage a seller profile, and reach customers
- Go Live: Host and join live selling sessions in real time
- Create Reels: Produce and share short-form video content about products and lifestyle
- Participate in Auctions: Bid on products in live and manual auction formats
- Connect: Follow other users, leave reviews, rate sellers, and engage with community
Declotr acts as a marketplace facilitator. We provide the platform and tools for transactions but are not a party to the sale between buyers and sellers unless expressly stated.
3. Eligibility
To use the Platform, you must:
- Be at least 18 years of age, or the age of legal majority in your jurisdiction
- Users aged 13–17 may use the Platform only with verifiable parental or guardian consent
- Have the legal capacity to enter into a binding agreement
- Not have been previously banned or suspended from the Platform
- Not be located in a jurisdiction where use of the Platform would violate any law
By using the Platform, you represent and warrant that you meet all eligibility requirements.
4. User Accounts
4.1 Account Creation
You may create an account using your email address, or via Google Sign-In or Apple Sign-In. You must provide accurate, current, and complete information during registration and keep your account information up to date.
4.2 Account Security
- You are responsible for maintaining the confidentiality of your password and account credentials
- You must immediately notify us of any unauthorised access or use of your account
- You are responsible for all activity that occurs under your account
- We are not liable for any loss or damage arising from your failure to secure your account
4.3 One Account Per Person
Each individual may maintain only one account. Creating multiple accounts for fraudulent, deceptive, or abusive purposes is prohibited and will result in termination of all accounts.
4.4 Account Types
- Buyer Account: Any registered user can browse, purchase products, create wishlists, and engage with community features.
- Seller Account: Users who wish to sell products must apply for and be approved as sellers. Seller accounts are subject to additional verification requirements, obligations, and fees.
5. Marketplace Rules
5.1 Listing Standards
All product listings must:
- Accurately describe the product, including its condition, features, and any defects
- Include clear, authentic photographs of the actual product
- Display honest pricing without misleading discounts or inflated original prices
- Be categorised correctly and include relevant attributes
- Comply with all applicable laws and regulations
5.2 Prohibited Products
The following items may not be listed on the Platform:
- Illegal or controlled substances, drugs, and drug paraphernalia
- Weapons, firearms, ammunition, and explosives
- Counterfeit, pirated, or stolen goods
- Hazardous materials
- Adult/explicit content and pornographic material
- Human remains, body parts, or endangered species products
- Financial products (currencies, securities) without proper authorisation
- Any product that violates applicable laws in the seller's or buyer's jurisdiction
We reserve the right to remove any listing that violates these rules without notice.
5.3 Pricing & Currency
All prices are displayed in the currency set by the seller or the Platform's default currency settings. Prices include all fees as disclosed at the time of listing. Sellers must not engage in price manipulation or bait-and-switch tactics.
6. Seller Obligations
As a seller on Declotr, you agree to:
- Accurate Listings: Provide truthful and complete descriptions of all products
- Timely Fulfilment: Process and ship orders within the timeframes specified in your listings or Declotr policies
- Customer Service: Respond to buyer inquiries promptly and professionally
- Legal Compliance: Ensure all products comply with applicable laws, regulations, and safety standards
- Tax Obligations: You are solely responsible for determining, collecting, and remitting any applicable taxes on your sales
- Quality Assurance: Ship products that match the descriptions and images in your listings
- Returns & Refunds: Comply with Declotr's returns and refund policies as applicable
6.1 Seller Verification
Sellers may be required to provide identification documents, business registration, bank details, and other information for verification. We reserve the right to reject seller applications or suspend seller accounts that fail verification.
6.2 Fees & Commissions
Declotr may charge fees or commissions on sales. Any applicable fees will be clearly disclosed to sellers before they are charged. Fee structures may be updated with prior notice to sellers.
6.3 Seller Payouts
Payments to sellers are processed via the seller wallet system. Payouts are subject to verification, processing timelines, and any applicable withdrawal fees. Declotr reserves the right to withhold payouts in cases of suspected fraud, disputes, or policy violations.
7. Buyer Protections
7.1 Product Accuracy
If you receive a product that is materially different from the listing description, you may be eligible for a return, exchange, or refund in accordance with our returns policy.
7.2 Order Issues
If an order is not received, arrives damaged, or does not match the listing, you may open a dispute. We will work with both parties to resolve the issue fairly. Resolution may include refunds, replacements, or other remedies at our discretion.
7.3 Reviews & Ratings
Buyers are encouraged to leave honest reviews and ratings. Reviews must be truthful, relevant, and not contain offensive, defamatory, or irrelevant content. We reserve the right to remove reviews that violate our community guidelines.
8. Payments & Transactions
8.1 Payment Processing
All payments on Declotr are processed through our integrated payment partners, including Paystack. By making a purchase, you agree to the applicable payment processor's terms of service.
8.2 Transaction Flow
- Buyers pay at the time of order placement
- Funds are held securely until order fulfilment is confirmed
- Sellers receive payment via their seller wallet after successful delivery
- Promo codes and discount codes reduce the payable amount as specified at checkout
8.3 Refunds
Refunds are processed in accordance with our refund policy. Processing times depend on your payment method and financial institution. Declotr is not responsible for delays caused by third-party payment processors or banks.
8.4 Currency
Transactions are processed in the currency displayed at the time of purchase. Exchange rates, if applicable, are determined by payment processors and may differ from market rates. Any currency conversion fees are the responsibility of the buyer.
8.5 Promo Codes
Promo codes are subject to their specific terms, including validity periods, minimum purchase requirements, and usage limits. Promo codes cannot be exchanged for cash, are non-transferable, and may be revoked if used fraudulently.
9. User-Generated Content
9.1 Your Content
You retain ownership of content you create and publish on the Platform, including product listings, reviews, reels, comments, and live stream content ("Your Content"). However, by posting content on the Platform, you grant Declotr a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to use, reproduce, modify, distribute, display, and perform Your Content in connection with operating, promoting, and improving the Platform.
9.2 Content Standards
All content must:
- Be accurate and not misleading
- Not infringe on any third party's intellectual property, privacy, or other rights
- Not contain hate speech, harassment, threats, or discriminatory content
- Not be obscene, sexually explicit, or pornographic
- Not promote violence, illegal activity, or dangerous behaviour
- Not contain spam, malware, or deceptive links
- Comply with all applicable laws and regulations
9.3 Content Removal
We reserve the right to remove any content that violates these Terms, our community guidelines, or applicable law, without prior notice. Repeated violations may result in account suspension or termination.
10. Live Selling & Reels
10.1 Live Selling
- Live selling sessions are conducted in real time and broadcast to viewers on the Platform
- Sellers are responsible for the content they broadcast during live sessions
- Products showcased during live selling must comply with all listing rules
- Viewers may interact during live sessions; all interactions are subject to community guidelines
- Declotr may record and store live sessions for moderation, enforcement, and replay purposes
10.2 Reels
- Reels are short-form video content created by users
- Videos must not contain copyrighted music, footage, or content without proper authorisation
- Reel content must comply with content standards outlined in Section 9.2
- Declotr may feature, recommend, or redistribute reels across the Platform at its discretion
- Users may report reels that violate community guidelines
11. Auctions
11.1 Auction Rules
- Placing a bid constitutes a binding offer to purchase the item at the bid amount
- Bids cannot be withdrawn once placed
- The highest bidder at the auction's close wins the item and is obligated to complete the purchase
- Sellers must honour the winning bid and fulfil the order
- Shill bidding (bidding on your own items to artificially inflate prices) is strictly prohibited
11.2 Auction Formats
- Live Auctions: Conducted in real time during live selling sessions with time-limited bidding
- Manual Auctions: Listed with a set duration; bids are placed asynchronously over the auction period
11.3 Auction Disputes
Disputes related to auctions will be resolved in accordance with our dispute resolution process. Declotr reserves the right to void any auction if fraud or manipulation is detected.
12. Prohibited Conduct
You must not:
- Use the Platform for any unlawful purpose or in violation of these Terms
- Create fake accounts, impersonate others, or misrepresent your identity
- Post false, misleading, or fraudulent content or listings
- Manipulate prices, reviews, ratings, or search results
- Harass, bully, stalk, or threaten other users
- Distribute spam, chain letters, or unsolicited promotional material
- Upload or transmit viruses, malware, or other harmful code
- Attempt to gain unauthorised access to other accounts, systems, or data
- Scrape, crawl, or harvest data from the Platform without permission
- Circumvent or attempt to circumvent security measures, rate limits, or access controls
- Interfere with or disrupt the Platform's operation, servers, or networks
- Use automated bots or tools to interact with the Platform (unless explicitly authorised)
- Conduct transactions outside the Platform to avoid fees or protections
- Infringe on any intellectual property rights
- Engage in money laundering, terrorist financing, or any financial crime
Violation of these rules may result in content removal, account suspension, permanent ban, and/or legal action.
13. Content Moderation
Declotr employs a combination of automated tools and human review to moderate content on the Platform. Our moderation practices include:
- Automated screening of listings, images, and video content
- User-driven reporting system for flagging violations
- Manual review of reported content and high-risk listings
- Proactive monitoring of live selling sessions
If your content is removed or your account is restricted, you may appeal the decision by contacting us at support@declotr.com. We aim to review appeals within 10 business days.
14. Intellectual Property Rights
14.1 Declotr's IP
The Platform, including its design, code, features, graphics, logos, trademarks ("Declotr," the Declotr logo), and all copyrighted material, are the exclusive property of Declotr or its licensors. You may not copy, modify, distribute, reverse engineer, or create derivative works from any part of the Platform without our prior written consent.
14.2 Copyright Complaints (DMCA)
If you believe that content on the Platform infringes your copyright, please send a notice to legal@declotr.com including:
- A description of the copyrighted work claimed to be infringed
- Identification of the infringing content and its location on the Platform
- Your contact information (name, address, email, phone number)
- A statement of good faith belief that the use is not authorised
- A statement under penalty of perjury that the information is accurate and you are the rights owner or authorised to act on their behalf
- Your physical or electronic signature
We will process valid notices in accordance with the Digital Millennium Copyright Act (DMCA) and applicable laws.
15. Disclaimers & Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
To the fullest extent permitted by law, Declotr disclaims all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties regarding the accuracy, reliability, or completeness of content on the Platform
- Warranties that the Platform will be uninterrupted, error-free, secure, or free from viruses
- Warranties regarding the quality, safety, or legality of products listed by sellers
Declotr does not endorse, guarantee, or assume responsibility for any product listed by sellers or any transaction between users.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- Declotr, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or relating to your use of the Platform
- This includes, without limitation, loss of profits, data, use, goodwill, or other intangible losses
- Our total aggregate liability for any claim arising from or relating to these Terms or the Platform shall not exceed the greater of (a) the amount you paid to Declotr in the 12 months preceding the claim, or (b) $100 USD
This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if Declotr has been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, our liability shall be limited to the fullest extent permitted by law.
17. Indemnification
You agree to indemnify, defend, and hold harmless Declotr, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:
- Your use of or access to the Platform
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your content or products listed on the Platform
- Your infringement of any third party's rights
- Any dispute between you and another user of the Platform
18. Dispute Resolution
18.1 Between Users
Disputes between buyers and sellers should first be resolved through direct communication. If direct resolution fails, either party may request mediation through Declotr's dispute resolution process. We will review the case and make a determination, which we endeavour to make fair and reasonable. However, our determination is not a legal ruling and does not preclude either party from pursuing legal remedies.
18.2 Between You and Declotr
If you have a dispute with Declotr:
- Informal Resolution: You agree to first contact us at support@declotr.com and attempt to resolve the dispute informally for at least 30 days.
- Mediation: If informal resolution fails, the dispute shall be submitted to mediation before an agreed-upon mediator.
- Arbitration: If mediation fails, the dispute shall be resolved by binding arbitration in accordance with the rules of the applicable arbitration body in the governing jurisdiction.
18.3 Class Action Waiver
To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Declotr.
19. Termination
19.1 By You
You may close your account at any time by contacting us at support@declotr.com or using the account deletion feature in the app. Outstanding orders and obligations must be fulfilled before account closure is complete.
19.2 By Declotr
We may suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:
- Violation of these Terms or our policies
- Fraudulent, deceptive, or illegal activity
- Extended account inactivity
- Upon request by law enforcement or government authorities
- Discontinuation of the Platform or any feature
19.3 Effect of Termination
- Your right to access and use the Platform ceases immediately
- Your content may be removed (though some may persist in backups or as required by law)
- Outstanding seller payouts will be processed subject to final verification
- Sections of these Terms that by their nature should survive (e.g., limitations of liability, indemnification, dispute resolution) shall survive termination
20. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Any legal proceedings arising out of or in connection with these Terms shall be brought in the courts of competent jurisdiction located in Lagos, Nigeria, and you consent to the exclusive jurisdiction of such courts.
If you are accessing the Platform from outside Nigeria, you are responsible for compliance with local laws to the extent applicable.
21. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes:
- We will update the "Last Updated" date at the top of these Terms
- We will notify you via email and/or in-app notification at least 14 days before the changes take effect for material modifications
- The revised Terms will be posted on our website and within the app
Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree with the revised Terms, you must stop using the Platform and close your account.
22. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
